Article 1 — Purpose and scope
These terms and conditions of sale (the “Terms”) govern the contractual relationship between SOVADIS (SAS, SIREN 808 615 264), hereinafter the “Provider”, and any professional client (the “Client”) wishing to use its services of collection, container provision, transport, sorting, recovery and treatment of waste.
Any order implies unreserved acceptance of these Terms, which prevail over any other document from the Client, save for specific conditions accepted in writing by the Provider. The services are intended exclusively for professionals.
Article 2 — Quote and order
Every service is subject to a prior quote issued by the Provider, valid for the period stated therein. The order is deemed firm upon the Client's signature of the quote or any purchase order. Any change requested by the Client is subject to the Provider's written agreement and may give rise to a price adjustment.
Article 3 — Prices
Prices are stated in euros excluding tax (HT), plus VAT at the applicable rate. They are based on the conditions, volumes, frequencies and types of streams defined in the quote. The Provider reserves the right to revise its rates in the event of a significant change in costs (fuel, treatment channels, taxes, regulations), subject to informing the Client.
Article 4 — Payment terms
Unless otherwise agreed, invoices are payable within 30 days of their issue date. In accordance with Articles L.441-10 et seq. of the French Commercial Code, any late payment automatically incurs penalties calculated at the legal interest rate increased, as well as a fixed recovery-costs indemnity of €40, without prejudice to any other damages.
Article 5 — Client's obligations
- Ensure access to the site and containers at the agreed dates and times.
- Comply with the type of waste authorised per container and not deposit hazardous, prohibited or non-compliant waste without prior agreement.
- Guarantee the accuracy of the information provided about the nature and quantity of the waste.
- Preserve the containers made available and report any damage.
In the event of non-compliant waste or blocked access, the Provider reserves the right to refuse collection and to invoice additional travel or treatment costs.
Article 6 — Provider's obligations
The Provider undertakes to perform the services with care and in accordance with industry standards and the applicable environmental regulations. It ensures the traceability of the streams entrusted to it and provides the Client with the applicable regulatory documents (waste slips, certificates, reporting).
Article 7 — Transfer of waste ownership
Unless otherwise agreed, ownership of and responsibility for the waste are transferred to the Provider upon its effective removal, subject to its compliance with the information provided by the Client.
Article 8 — Liability
The Provider's liability is limited to direct and proven damage resulting from a fault in the performance of the services, up to the amount of the services concerned. The Provider cannot be held liable for damage resulting from incorrect information from the Client, force majeure, or the Client's failure to meet its obligations.
Article 9 — Insurance
The Provider declares that it holds the insurance necessary for its activity, covering its professional civil liability.
Article 10 — Term and termination
The conditions of term, renewal and termination are specified in the quote or contract. In the event of a serious breach by either party of its obligations, not remedied within thirty (30) days of a formal notice that remains without effect, the other party may terminate the contract automatically.
Article 11 — Personal data
Personal data exchanged within the contractual relationship is processed in accordance with our Privacy policy.
Article 12 — Governing law and disputes
These Terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution. Failing that, and in the absence of a specific jurisdiction clause, the dispute will be brought before the Commercial Court of Versailles, to which express jurisdiction is granted.
